1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Contractor,” “you,” or “your”) and J.E. Herizon LLC, a North Carolina limited liability company doing business as JE Horizon (“JE Horizon,” “we,” “us,” or “our”). By creating an account, accessing cmd.jehorizon.com, or opting in to receive SMS notifications, you agree to these Terms and our Privacy Policy.

2. Platform Plans & Transparent Pricing

JE Horizon operates the Line contractor communications suite, lead inbox, appointment scheduling, and automated 24/7 AI voice and SMS receptionist services:

• Free Core Desk CRM ($0 forever): Core contractor CRM, dispatch dashboard, customer records, quotes, and invoices. Zero card required to register and use.
• Alerts ($9/mo): Contractor-only lead alerts by text and/or email. Alerts does not text customers, does not include AI drafts, has no free trial, and does not require the $29.99 setup and compliance-onboarding fee. It is billed when purchased and renews monthly until canceled.
• Text-Back ($29/mo): Customer text-back and 25 AI drafts for one seat, with no live voice service. A one-time $29.99 account setup and compliance-onboarding fee is due when purchased. The monthly software includes a 30-day trial and then renews at $29 per month until canceled. The setup fee covers JE Horizon's internal onboarding, configuration, and messaging-compliance work.
• Starter ($49/mo): AI-assisted missed-call SMS text-backs, lead intake, 500 automated conversations, and 100 connected receptionist minutes. A one-time $29.99 account setup and compliance-onboarding fee applies. A 30-day Starter software trial is available only after the account has completed at least one paid Text-Back month. If the account is not eligible, Starter is charged when purchased and renews monthly until canceled.
• Pro ($79/mo): 24/7 full-duplex AI voice receptionist, 250 connected voice minutes, 1,000 SMS conversations, inbound job photo qualification, and quote drafting. A one-time $29.99 account setup and compliance-onboarding fee applies. A 30-day Pro software trial is available only after the account has completed at least two paid Text-Back months and one paid Starter month. If the account is not eligible, Pro is charged when purchased and renews monthly until canceled.
• Dedicated Local Phone Number Add-On (Optional +$5/mo): Your own dedicated local phone number matching your service zip code. Default tier operates from our verified line on your behalf at no extra charge.
• Other Optional Add-Ons: Webchat is $15 per month. Ads Growth Engine is $49 per month and requires Pro. Each selected add-on renews monthly until canceled.

3. Transactional SMS Text Messaging Program Terms

JE Horizon operates a transactional SMS program designed to keep contractors instantly notified of customer activity and job requests:

• Program Name: JE Horizon Transactional Alerts.
• Message Types: Real-time new-lead notifications, missed-call alerts, appointment reminders, service updates, and critical account notices.
• Message Frequency: Message frequency varies based on inbound customer calls and lead volume. Initial usage is approximately 10 messages per month.
• Message and Data Rates: Message and data rates may apply depending on your wireless service plan.
• Voluntary Consent: Consent to receive text messages is optional and is not a condition of purchasing any goods, software, or services from JE Horizon.
• Carriers: Mobile carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, Verizon, T-Mobile, and other major US networks.

5. Mobile Privacy & No Third-Party Sharing

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Messaging consent is not sold or shared for marketing or promotional purposes. Service providers may process it only to operate messaging and consent services on our behalf. For more details, consult our Privacy Policy.

6. Recurring Billing, Trial Eligibility & Cancellation

Before checkout, we disclose the selected plan, the amount due at checkout, any applicable trial and first subscription charge date, the monthly renewal amount, and selected recurring add-ons.

• Automatic Monthly Renewal: Alerts, Text-Back, Starter, Pro, and selected recurring add-ons renew each month at the disclosed rate unless canceled before the next billing date.
• Trial Eligibility: Text-Back includes the trial stated in Section 2. Starter and Pro trials are conditional on the paid-history requirements in Section 2 and are not available to every new account. Checkout and the receipt control the exact first charge date for an eligible trial.
• Cancellation: You can cancel through Account > Billing or by emailing [email protected]. Cancellation prevents the next renewal. Unless the checkout terms state otherwise, access continues through the end of the current paid period. If an eligible trial is canceled before its disclosed first charge date, the monthly subscription is not charged.

7. AI Services & Automated Output Disclaimer

AI-Generated Content: The Services use specialized artificial intelligence models to draft replies, quotes, job notes, and customer estimates. AI output is probabilistic, may be inaccurate, incomplete, or inappropriate, and is provided solely as a draft for your review. You are solely responsible for reviewing, correcting, and approving any AI-generated content before it is sent to a customer or relied upon. We are not liable for any quote, price, commitment, representation, or advice transmitted by you or by an automated flow you enabled. JE Horizon does not provide legal, accounting, engineering, or trades-licensing advice.

8. Contractor Responsibility for Messaging Compliance & Indemnity

You are solely responsible for the lawfulness of all communications sent through the Services, including obtaining and honoring prior express written consent where required, maintaining your own suppression records, complying with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, carrier and 10DLC registration requirements, and all state and local laws. You represent and warrant that every number you or your customers provide was obtained lawfully. We may suspend or terminate the Services immediately, without refund, if we reasonably believe the Services are being used to send unlawful or non-consented messages.

Contractor Indemnification: Contractor agrees to defend, indemnify, and hold harmless J.E. Herizon LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) any communications or text messages sent or configured by Contractor or on Contractor’s behalf; (b) any telephone numbers provided by Contractor; or (c) Contractor’s violation of the TCPA, CAN-SPAM, or state telemarketing statutes.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall JE Horizon or J.E. Herizon LLC be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

In no event shall our total aggregate liability for all claims arising out of or relating to these Terms or the Services exceed the greater of one hundred U.S. dollars ($100.00) or the amounts actually paid by you to JE Horizon in the three (3) months preceding the event giving rise to liability.

10. Disclaimer of Warranties & Best-Efforts Standard

The Services are provided on a commercially reasonable, best-efforts basis “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or available at all times, and we do not commit to any response time, message-delivery time, or call-answer rate. Carrier filtering, registration status, and upstream network conditions are outside our control. Our sole obligation, and your exclusive remedy, for any service failure is the refund policy at /legal/refund.

11. Mandatory Individual Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in North Carolina. You and JE Horizon agree to resolve all disputes solely on an individual basis and waive any right to bring or participate in a class, collective, or representative proceeding. You have the right to opt out of this arbitration provision within thirty (30) days of opening your account by emailing written notice to [email protected].

12. E-SIGN Act Disclosure & Electronic Records Retention

By checking the consent box, registering an account, or starting a trial, you provide your legal electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).

Consumer Disclosure (15 U.S.C. § 7001(c)): To access and retain electronic records, you must have an active internet connection, a modern web browser supporting TLS 1.2+, and an email account capable of receiving HTML messages. You have the right to withdraw electronic consent at any time by contacting us; withdrawal will terminate automated messaging services. You may request paper copies of electronic agreements at no charge by emailing [email protected].

Upon submission, our system records an electronic consent receipt containing the timestamp, IP address, user agent, authorized signatory name, email, and plan tier. We attempt to email a complete electronic copy of the agreement to both:

• Our dedicated compliance archive at [email protected]
• Your registered account email address

13. Google Ads Third-Party Partner Disclosure (Growth Engine)

If you subscribe to or activate the Local Ads & Growth Engine add-on ($49/mo), JE Horizon operates as a third-party technology and advertising partner via Google Ads Manager Account (MCC ID: 641-117-0003). In compliance with Google's mandatory Third-Party Policy, you acknowledge and agree that:

• Direct Media Spend Billing: All advertising media spend is paid directly by you to Google via your dedicated child account billing profile. JE Horizon collects zero markup or percentage commission on your direct Google ad spend.
• Software Management Fee: Line charges a separate, transparent flat SaaS add-on fee of $49/month billed through Stripe for automated campaign creation, negative keyword shielding, child account management, and CRM speed-to-lead routing.
• Official Disclosure Notice: You are encouraged to review Google's official consumer disclosure notice: Working with a Third-Party Partner.
• Account Portability: You maintain sovereign rights to your contractor trade profile and may request unlink or blueprint CSV export at any time.
